1. Introduction

1.1 These Terms of Business (“Terms”) set out the basis on which Forte Financial LLP (“we”, “us”, “our”, the “Firm”) will provide regulated financial planning, wealth management, and associated advisory services to you (“you”, “the client”).

1.2 Forte Financial LLP is authorised to act as an Appointed Representative of St. James’s Place Wealth Management plc (“SJP”), which is authorised and regulated by the Financial Conduct Authority (“FCA”). Our permitted business includes advising on and arranging investments, pensions, protection products, and related services.

1.3 By engaging us to provide advice or services, you agree to be bound by these Terms.

2. Regulatory Status

2.1 Forte Financial LLP (Company Number: OC377808) is an Appointed Representative of St. James’s Place Wealth Management plc (“SJP”). SJP is authorised and regulated by the FCA (Firm Reference Number: 195351).

2.2 As an Appointed Representative, we conduct our activities under the regulatory oversight, compliance framework, and permissions of SJP.

2.3 You may verify our regulatory status on the FCA Financial Services Register at www.fca.org.uk/register.

4. Your Responsibilities

4.1 To enable us to provide appropriate and compliant advice, you agree to:

  • Provide complete, accurate, and up-to-date information about your financial position, objectives, and risk tolerance.

  • Inform us promptly of any material changes to your circumstances.

  • Read all documents we provide and ask for clarification where required.

4.2 We cannot be held liable for advice based on incomplete, inaccurate, or withheld information.

5. Fees, Charges, and Remuneration

5.1 We will clearly disclose all fees and charges in writing before you agree to proceed with any recommended product or service.

5.2 Charges may include:

  • Initial advice fees

  • Ongoing advice fees

  • Product, platform, and fund charges levied by SJP or associated providers

  • Transaction or administrative fees, where applicable

5.3 All charges will be documented in your Personal Illustration, Client Fee Agreement, or Suitability Letter.

5.4 You have the right to cancel ongoing servicing at any time, subject to applicable notice requirements set out in your agreement.

6. Conflicts of Interest

6.1 We maintain a Conflicts of Interest Policy in line with FCA rules and SJP requirements.

6.2 As a Partner Practice of SJP, we only advise on SJP products. This constitutes a restricted advice model and will be disclosed as such in all advice documentation.

6.3 If any conflict arises that cannot be mitigated effectively, we will disclose it in writing before proceeding.

7. Client Money

7.1 Forte Financial LLP does not hold client money.

7.2 All payments in relation to investments or policies must be made directly to the relevant SJP entity or product provider.

7.3 We do not accept cash or cheques made payable to us in connection with regulated financial business.

8. Data Protection and Privacy

8.1 We act as a data controller jointly with St. James’s Place for the purposes of processing your personal data.

8.2 Personal information will be used to:

  • Provide financial advice and ongoing services

  • Fulfil regulatory obligations

  • Conduct anti-money-laundering and fraud-prevention checks

  • Administer products or policies you acquire through SJP

8.3 Full details of how we handle your data can be found in our Privacy Notice, available upon request or on our website.

8.4 You have the right to request access to, correction of, or deletion of your data, subject to legal and regulatory retention requirements.

9. Anti-Money Laundering Requirements

9.1 We are required by law to verify your identity and may request:

  • Photographic ID

  • Proof of address

  • Source-of-funds information

9.2 Failure to provide requested documentation may result in delays or an inability to proceed with advice or transactions.

10. Risk Warnings

10.1 All investments involve risk. The value of your investments may fall as well as rise, and you may not get back the amount invested.

10.2 Past performance is not a reliable indicator of future results.

10.3 Tax treatment depends on individual circumstances and may change in future.

10.4 We will provide specific risk warnings relevant to any advice within your Suitability Letter.

11. Service Levels and Ongoing Reviews

11.1 Where you agree to an ongoing advice service, we will provide:

  • Annual or periodic reviews

  • Portfolio assessment

  • Policy updates

  • Continued suitability evaluation

  • Access to your adviser for guidance and queries

11.2 The details and frequency of services will be outlined in your Ongoing Advice Agreement.

Complaints must be submitted within the allowable statutory timeframe.

13. Professional Indemnity Insurance

13.1 In accordance with FCA rules, we maintain professional indemnity insurance with a level of cover appropriate to the nature and scale of our business.

14. Termination

14.1 Either party may terminate this Agreement by giving written notice.

14.2 Termination does not affect:

  • Outstanding fees for services already rendered

  • Continuing obligations under product agreements with SJP

  • Our regulatory requirement to retain records for a minimum period

14.3 If you cancel ongoing servicing, ongoing fees will cease from the date your request is processed.

15. Liability

15.1 We will perform our services with reasonable care and skill.

15.2 We accept liability only to the extent permitted by law and FCA rules.

15.3 We are not liable for:

  • Market losses or investment performance

  • Actions taken without our advice

  • Errors arising from incorrect or incomplete information provided by you

  • Failure of third-party providers including SJP product platforms

17. Governing Law and Jurisdiction

17.1 These Terms are governed by the laws of England and Wales.

17.2 Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to your statutory rights to use the Financial Ombudsman Service.

18. Acceptance

By signing our engagement documentation or instructing us to provide advice, you confirm that you have read, understood, and agree to these Terms.

Accreditation

The Partner Practice is an Appointed Representative of and represents only St. James’s Place Wealth Management plc (which is authorised and regulated by the Financial Conduct Authority) for the purpose of advising solely on the Group’s wealth management products and services, more details of which are set out on the Group’s website www.sjp.co.uk/products. The ‘St. James’s Place Partnership’ and the titles ‘Partner’ and ‘Partner Practice’ are marketing terms used to describe St. James’s Place representatives.
